Super Reseller Terms and Conditions

Introduction

These Super Reseller Terms and Conditions ("Super Reseller Terms") govern registration for and use of a Super Reseller account on www.merchlab.io, operated by MerchLab (Pty) Ltd t/a MerchLab (registration number 2023/983638/07) ("MerchLab", "we", "us").

These Super Reseller Terms apply in addition to the MerchLab Terms and Conditions ("Main Terms"), which remain binding on all Super Reseller account holders. If there is a conflict, these Super Reseller Terms prevail in respect of account-specific matters only.

Application and Approval

Any customer may use the Website without an account. Super Reseller accounts are available by application via merchlab.io.

• Complete an application form, ensuring all required documentation is uploaded.
• Applications are subject to approval by MerchLab, in its sole discretion. MerchLab is not obliged to give reasons for declining an application.
• You must provide accurate and complete information when applying and keep your account details up to date.
• MerchLab may set and amend eligibility criteria, and may make approval conditional (for example, on verification of business details).

Super Reseller Benefits

An approved Super Reseller account gives access to:

• Discounted buying rates: Preferential pricing displayed when you are logged in. Rates may be amended or withdrawn by MerchLab from time to time and apply only to orders placed after the change.
• Buy Now Pay Later (BNPL): BNPL payment options provided through Payflex.
• Saved artwork: The ability to store approved artwork against your account for reuse on future orders.
• Quick reordering: The ability to reorder previous orders without re-entering personal and delivery details.

Benefits are personal to the account holder and may not be resold or transferred.

Account Security

You are responsible for keeping your login credentials confidential and for all activity under your account. If any person uses your account without your consent, you must notify us within 24 hours at info@merchlab.io. MerchLab is not liable for losses arising from unauthorised account use that occurs before we receive that notice, to the extent permitted by law.

Payments

Online payments are processed by AddPay, a PCI-DSS compliant third-party payment gateway. MerchLab does not store your card details.

BNPL is provided by Payflex, an independent third-party provider, and is subject to Payflex's own terms, conditions, and approval criteria. MerchLab is not the credit provider, does not decide BNPL approvals, and is not a party to your agreement with Payflex.

Orders paid via BNPL are dispatched or released for branding only once payment is confirmed to MerchLab by the payment provider.

EFT payments are only processed after proof of payment (POP) is emailed to info@merchlab.io.

Saved Artwork

Artwork is stored against your account for your convenience. You warrant that you hold, or have obtained from the brand or trademark owner, all rights necessary to use and reproduce any artwork you upload. The Artwork Policy and indemnity in Annexure A of the Main Terms apply to all artwork stored or used under your account. MerchLab may remove artwork it reasonably believes infringes third-party rights and may delete stored artwork on account closure.

Samples

Sample orders under the Main Terms are intended for business procurement evaluation. Super Reseller account holders should place sample orders through their account. Sample credits are issued as Store Credit Notes valid for 3 months, as set out in the Main Terms.

Personal Information

Account information, saved details, and order history are processed in accordance with the Protection of Personal Information Act, 2013 and the MerchLab Privacy Policy. You may access, correct, or request deletion of your information by emailing support@merchlab.io.

Suspension and Termination

• MerchLab may suspend or terminate a Super Reseller account on written notice for breach of these Super Reseller Terms or the Main Terms, suspected fraud or misuse, non-payment, or extended inactivity.
• You may close your account at any time by written notice to info@merchlab.io.
• Suspension or termination does not affect orders already accepted, amounts owing, or any accrued rights of either party. Unused Store Credit Notes remain subject to their stated validity period.

General

MerchLab may amend these Super Reseller Terms from time to time; the latest version will be posted on the Website and applies from the date of posting. The Main Terms' provisions on notices, electronic communications, dispute resolution, limitation of liability, and governing law (the laws of the Republic of South Africa) apply to these Super Reseller Terms.
